Terms of Service
1. Agreement to Terms
By engaging Technology Maintenance Shop, L.L.C. ("Company," "we," "us") for technology maintenance, repair, installation, or related services ("Services"), you ("Client") agree to be bound by these Terms of Service. These Terms constitute a legally binding agreement between you and the Company.
2. Provision of Services
The scope of Services, including specific deliverables, timelines, and pricing, will be outlined in a separate work order, estimate, Statement of Work (SOW), or service agreement. The Company agrees to perform the Services with professional skill and care. The Client agrees to provide accurate information about devices and systems, safe access to work areas, and any credentials or materials reasonably required for the Company to perform the Services.
3. Timelines and Delays
The Company will make every reasonable effort to meet the timelines agreed upon in writing. However, timelines are estimates and may be subject to delays caused by parts availability, hidden damage, manufacturer policies, or the Client's failure to provide timely feedback, approval, or access. The Company is not liable for delays resulting from such factors outside its reasonable control.
4. Payment Terms
Payment terms, including service fees, deposits, billing cycles, and payment methods, will be specified in the estimate, invoice, or service agreement. Services may require a deposit or payment before release of equipment. All payments are due as stated on the invoice unless otherwise agreed in writing. Failure to make timely payments may result in suspension of further Services or applicable late fees where permitted by law.
5. Intellectual Property
Upon full payment for the Services, the Client shall own media, files, or custom documentation created specifically for the Client as part of the agreed deliverables. The Company retains ownership of its pre-existing tools, templates, methodologies, and proprietary know-how used in the provision of Services.
6. Confidentiality
Both parties agree to treat non-public information received from the other party as confidential, including business data, credentials shared for service, and personal information. This obligation shall survive the termination of the service relationship, subject to limitations under applicable law.
7. Limitation of Liability
While the Company strives to perform quality work, technology service outcomes can depend on device age, manufacturer defects, third-party software, and factors outside our control. We do not guarantee specific results such as permanent resolution of intermittent faults, data recovery success, or future performance of hardware. In no event shall Technology Maintenance Shop, L.L.C. be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with our Services, except where prohibited by law.
8. Termination
Either party may terminate an ongoing service arrangement in accordance with the notice provisions in the applicable agreement or work order. Upon termination, the Client is responsible for payment for all Services and parts ordered or rendered up to the effective date of termination. The Company will cooperate in the orderly return of equipment and client data where feasible.
9. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the jurisdiction in which 83 Technology Maintenance Shop, L.L.C. is registered, without regard to its conflict of law principles.
